ZuckPay General Purchase Terms

1. Overview
1.1. This Policy governs all purchases made on the ZuckPay Platform.
1.2. The company you contract with to use the Platform and operationalize your transactions may vary by transaction, depending on the country or countries of residence of the User(s) and the currency in which the transaction is conducted. If the transaction is carried out in Brazilian Reais (BRL), between two Users who declare residence in Brazil, the company processing the transaction is the Brazilian company ZuckPay Tecnologia e Pagamentos Ltda., registered under CNPJ No. 45.123.456/0001-88, with headquarters at Avenida Paulista, No. 1000, Bela Vista, São Paulo, SP, CEP 01310-100 (“ZuckPay BR”). For all other transactions, the company processing the transaction is the Dutch company ZuckPay Global B.V., headquartered at Strawinskylaan 3051, 1077 ZX Amsterdam, Amsterdam, Netherlands (“ZuckPay Global”). If the transaction is carried out in US Dollars (USD) between Users who declare residence in the United States of America, the company collecting the amounts from Buyers is the American company ZuckPay USA Corp., headquartered at 1209 Orange Street, Wilmington, DE 19801 (“ZuckPay USA”). The business model established between the User and ZuckPay will depend on the company with which the User contracts. If the User contracts with ZuckPay Global, ZuckPay will act as a Commercial Agent on behalf of Creators, except for individual Creators residing in Mexico, in which case ZuckPay will act as a reseller. If the User contracts with ZuckPay BR, ZuckPay will be the provider of intermediation services. By accepting these terms, you grant ZuckPay broad powers to perform all activities necessary to maintain the established commercial relationship and compliance with these Terms and other Policies.
1.3. By accepting this Policy, you declare that you know and agree with its content and other applicable Policies, including the Privacy Policy, which, although presented in separate texts, are integral parts of the ZuckPay General Terms of Use.
1.4. ZuckPay does not perform prior editorial control of the Products commercialized, nor does it evaluate the technicality and experience of those who produce them. The existence of a Product and its acquisition, through the Platform, cannot be considered as a guarantee of the Product's quality under any circumstances. Upon acquiring it, the Buyer declares to be aware of this information.
1.5. ZuckPay may refuse or cancel a purchase order, in addition to the payment of commissions to Affiliates, if it identifies that the Buyer consists of an Affiliate buying from their own link, or if the Buyer's data is not fully filled out with real information about themselves.
1.6. ZuckPay may refuse to approve a purchase requested by a Buyer who has already made more than one refund or return request through the Platform.
1.7. The services and features made available through the Platform are provided "as is", without express or implied warranties, including, among others, warranties of merchantability, fitness for a particular purpose, ownership, non-infringement, and protection against computer viruses or other harmful code.
1.8. Any additional information about the Product must be obtained by the Buyer directly from the Creator and/or Co-producer after the purchase. The Buyer will receive an email to contact the Creator and/or Co-producer.
1.9. The purchase will appear on the card statement or invoice indicating the name of ZuckPay. However, this consists of a mere identification of ZuckPay as a payment facilitator, whether on the statement or invoice, and does not make the Platform a seller or responsible for the Product, nor for its functionality, characteristics, offer, advertising, quality, delivery, exchange, or return.
1.10. The Buyer acknowledges that they may receive more than 1 (one) invoice as a result of the same Product purchase on the Platform.
1.11. For problems and questions about the purchase, such as payment options, receipt of the Product, refund, and assistance related to the experience on the Platform, the Buyer must contact our support.
1.12. The ZuckPay Platform provides a set of online resources that enable its Users to consume, create, disclose, or commercialize Products in various formats. Under the Terms of Use, ZuckPay is not responsible for the Product purchased, as its content, functionality, quality, offer and advertising, delivery, exchange, and return are the sole responsibility of the Creator and/or Co-producer.
1.13. When Users carry out a transaction on a Product via the Platform, they enter into a contract directly with each other. ZuckPay is not, and does not become a party, intervener, or guarantor of any relationship between Users. ZuckPay does not create, elaborate, control, endorse, or provide any Product to Users. Creators and/or Co-producers are responsible for the content and information relating to their Products, answering for their existence and for their characteristics, quality, functionality, quantity, offer, advertising, delivery, exchange, and return. To resolve issues related specifically to the purchased Product, the Buyer must contact the Creator's and/or Co-producer's team.
2. Product Delivery
2.1. Digital Products: The delivery time for access data of digital Products may vary according to the payment method, for example: (a) bank slip, up to 72 hours; (b) credit card, up to 24 hours; (c) PIX, immediate release. Deadlines must be counted from payment confirmation. The way these Products are made available may occur through the Platform's members area or an external one.
2.2. Physical Products: The delivery time and method of physical Products will be determined by the Creator and/or Co-producer in the offer and are their exclusive responsibility. Deadlines must be counted from payment confirmation. By acquiring a physical Product on the Platform, the Buyer will receive a confirmation email containing the transaction ID and a tracking code for the Product.
3. Refund or Return Request for Products
3.1. Deadline for request: The Buyer may request a refund of the amounts paid or the return of a Product, provided that the minimum period established by law or by the Creator and/or Co-producer is respected, if longer. The period for requesting a refund or return will begin from the completion of the purchase and will be counted in days, unless another provision is provided by law. Requests outside the deadline must be made directly to the Creator and/or Co-producer and authorized by them, except when the refund or return must be processed to ensure ZuckPay's interests and compliance with the law.
3.1.1. Unless expressly provided otherwise, refund periods are only applicable to purchases of new Products. Renewals of Subscription Products are not considered acquisitions of new Products, and it is not possible for the Buyer to request a refund of the amounts paid from the 2nd (second) recurrence onwards, only the cancellation of the subscription, so that there are no new renewals.
3.2. Use of digital Product content: ZuckPay may refuse the refund request for amounts paid, even within the warranty period, in the event that the Buyer has benefited from all or part of the digital Product purchased, such as, for example, attending classes of a course, participating in an event, or having downloaded the available files, leaving ZuckPay and the Creator and/or Co-producer at a clear disadvantage.
3.3. Means for request: ZuckPay has specific channels for refund or return requests in its Help Center. Buyers are aware that these are the only valid means for requests via the Platform and that they should not respond to automatic emails and those eventually sent during the Product acquisition process. Such emails do not have valid means for receiving requests, nor are they monitored by ZuckPay.
3.4. Processing method and deadline for completion: The refund or return will be processed through the same payment method used at the time of purchase. The deadline for completion is (a) up to 30 days, in the case of bank transfer; and (b) up to 90 days, in cases of purchases made by credit card. The completion of refunds and returns via credit card will depend exclusively on the card operators, without any management by ZuckPay. If the refund does not occur within the above periods, the Buyer must contact ZuckPay. In cases involving credit cards, the Buyer agrees to send copies of their invoices so that ZuckPay can address this matter with the operator and finalize the refund process. Refusal to send invoices prevents ZuckPay from proceeding with the investigation and conclusion of the case.
3.5. Chargeback: The Buyer is aware that the presentation of a chargeback prevents ZuckPay from processing any refunds or returns while the purchase dispute process is ongoing. The refund or return is made only after the conclusion of this process, depending on its result.
4. Access Blocking and Purchase Denial
4.1. By placing a purchase order, the Buyer understands and accepts that ZuckPay may, at its sole discretion, take preventive blocking of the Buyer's access to the Platform, whenever it becomes aware of any indication of fact or conduct that may characterize a violation of the Terms of Use or ZuckPay Policies. Preventive blocking will be maintained until (a) ZuckPay finds that the suspicious fact or conduct does not characterize a violation; or (b) ZuckPay is regularly notified of a court order or determination from administrative authorities to reverse the block. If ZuckPay confirms the occurrence of any violation by the Buyer, the preventive block may be converted into a permanent one, as per the Terms of Use, without generating any right to compensation or refund for the Buyer.
4.2. Among other hypotheses provided in the Terms of Use, ZuckPay may refuse approval of a purchase order if (a) it is made by a Buyer who has made a refund or return request to ZuckPay regarding the same Product; (b) it is made by a Buyer who has their name or identity linked to public or private lists intended to identify persons involved in illegal or irregular activities; or (c) if ZuckPay verifies that the Buyer has adopted atypical or suspicious behaviors that could put the Platform, its Users, or third parties at risk.
5. Purchases in Trial Functionality
5.1. Trial Functionality: The Creator and/or Co-producer may make the Product available through trial functionality, a non-binding period of use, as a test by the Buyer, which can vary from 1 (one) to 30 (thirty) days, according to the choice of the Creator and/or Co-producer. Trial is intended to allow new Buyers to try the Product. Qualification for Trial, its use, and duration period must be determined by the Creator and/or Co-producer at their discretion. The Creator and/or Co-producer may limit qualification to avoid abuse of the Trial, provided they do so in compliance with these Terms. The Creator and/or Co-producer must charge the Buyer the Product value at the end of the established Trial period, unless the Buyer cancels the Trial use before the end of that period.
5.1.1. In Subscription Products, Creators and/or Co-producers may choose Trial functionality in the free or test-drive model, at their sole discretion. The difference between these modalities is that the Buyer, when deciding to continue with the Product acquired in the test-drive modality, must pay for the period used, which does not happen in the free model.
6. Purchases Made by the Automatic Sales Recovery Tool
6.1. Denied Purchases: The Creator and/or Co-producer may enable the automatic sales recovery tool for their Products. This tool allows transactions denied for insufficient balance on the Buyer's card to be automatically transformed into monthly recurring transactions. It is a service offered to the Creator and/or Co-producer and directly related to their Product.
6.2. Updated Data: The Buyer must keep the data informed at the time of purchase, including the credit card used, always valid and updated, so that recurring transactions are carried out on the due dates, until full payment of the amount due.
6.3. Access Blocking: In case of lack of authorization or approval of any transaction relating to any subsequent month, for any reason, the Buyer's access to the Product will be blocked until all overdue charges are duly cleared.
7. Event Ticket Purchases
7.1. In the case of purchasing tickets for events registered by the Creator and/or Co-producer, which must occur under the full responsibility of the Creator and/or Co-producer, without any subsidiary or joint responsibility of ZuckPay, the following rules and conditions will apply:
7.1.1. The refund rules for the amount paid requested in case of change of mind about the purchase are defined by the Creator and/or Co-producer. Therefore, to confirm specific rules for the ticket to be acquired, check this information on the ticket sales page or contact the responsible Creator and/or Co-producer.
7.1.2. We remind you that, in some cases, Creators and/or Co-producers only accept the submission of a refund request if it is made by the Buyer within a period of up to seven days from the date of purchase, and provided that the return request is made at least 48 hours before the event's start time. Therefore, stay alert and carefully read the event policies and rules made available by the Creator and/or Co-producer.
7.1.3. Refund requests for event ticket purchases requested on the day of the event or after check-in by the Buyer will not be authorized.
7.1.4. If the Buyer chooses to upgrade the initially purchased ticket, the refund period will continue to be linked to the date of purchase of the initially acquired ticket, and the period will not be changed due to the upgrade.
7.1.5. The costs and responsibilities with the refund of all Buyers will fall exclusively on the Creator and/or Co-producer organizing the event if, for any reason, the event is not held or does not take place as offered. ZuckPay will have the right of recourse against the Creator and/or Co-producer for any amounts that the Platform is forced to pay to Buyers by virtue of an action, complaint, or administrative, judicial, or extrajudicial process.
7.2. It is emphasized that, in the case of event tickets, taxes will be applicable according to the rules and regulations of the country where the event is held.
8. Subscription Products
8.1. Automatic Renewal: As a rule, the renewal of a subscription occurs automatically, for an equal period of time, and always at the end of the period previously defined by the Creator and/or Co-producer. To prevent renewal and new charges, the Buyer must cancel it before the renewal deadline, which can be done at any time, without any interference from ZuckPay. By not canceling a recurring charge, the Buyer agrees and authorizes its renewal.
8.2. Upgrade and Downgrade: In case of an upgrade of the plan contracted by the Buyer, the change in the subscription period will occur automatically and immediately. In case of a downgrade, the change in the subscription period will occur only at the end of the previously defined period.
8.3. Cancellation: The Buyer can cancel a subscription in the following way: (a) through the Platform in their client area; (b) through the Creator and/or Co-producer, by contacting them directly; and (c) through their Paypal/Stripe account, provided that this was the payment method used.
8.3.1. The cancellation of a subscription only prevents its renewal at the end of the period defined by the Creator and/or Co-producer, and does not suspend the charges for amounts from the period prior to the cancellation. The cancellation of a subscription and the refund request are distinct procedures.
8.4. Default: Delay in payment recurrences of Subscription Products may generate, for the Buyer, in addition to blocking access to the purchased Product, the cancellation of the respective subscription, at the sole discretion of ZuckPay.
9. Purchases Made from the European Union
9.1. If the purchase is made by a person located in the European Union, a valid VAT (Value Added Tax) identification number may be provided by the Buyer so that they are identified as a legal entity customer and, therefore, as a person subject to taxation. However, if the Buyer does not provide a valid VAT identification number within a reasonable time, ZuckPay Global will assume that it is a non-taxable person. In this sense, you, the Buyer, agree that the period of 15 days after the purchase order will be considered a reasonable period for a valid VAT identification number to be indicated for tax treatment purposes, if applicable to your case.
9.2. Use of the Klarna/SeQura payment method: In cases where Buyers located in Spain or other EU countries choose to finance their purchases through installment payment methods, they acknowledge and agree that the purchased Product will be considered as fully delivered and provided 60 (sixty) days after the availability of the Product.
